Supply of Goods

After the process of order and payment has been completed by Party B, Party A pledges to dispatch the goods according to Party B’s requirement within 15 working days (or the agreed days). For order exceeding 500, a prior notice of 30 days is required for Party A to prepare the stock; the specific dispatch date will be indicated by notice through post or e-mail.

Party A shall provide free accessory parts proportionate to the ordered quantity, the value of the accessory parts is equivalent to 0.5% of the ordered value.

In order to ensure the influence and market share of Party A’s products in Europe, Party A shall give priority to supply the goods ordered by Party B. In the event of Party A’s failure to dispatch the goods within 15 working days or the specified date agreed upon, Party A shall indemnify Party B 1% per day of the amount ordered after the 5th-day delay. However, this shall not apply to any force majeure event.

F: Return Policy and After-sales Service

In view of the free accessory parts provided by Party A, the value of which is equivalent to 0.5% of the ordered value, all the after-sales services in the European market shall be the responsibility of Party B, Party A shall no longer bear any after-sales expenses. In the event of serious lot-size problem, Party B may request the support of Party A to assist in analyzing and resolving the problem.

H. Indemnity Claim and Compensation Liability

In the event of finding other xxxx agents in the exclusive agency region of Party B, and the products were supplied directly from the manufacturer, once it is verified, Party B has the right to claim damages from Party A. Party A pledges to indemnify Party B with the amount of the guarantee deposit within 10 working days.

Party A shall bear no responsibility whatsoever for any incident caused by consumer’s improper usage of the products sold by distributors.

After signing of this contract, in the event of Party A terminating the contract without any cause in the duration of the contract, Party A shall refund Party B’s guarantee deposit and indemnify Party B with equivalent amount of the guarantee deposit.

I. Alteration of Contents

In the duration of the contract, in the event of Party A deciding to adjust the selling price of xxxx, Party B shall be notified by written notice through post or e-mail. The new price shall come into effect 15 days after the receipt of notice by Party B. Any undelivered products ordered and paid by Party B before the price adjustment shall not be affected by the price adjustment.

J. Terminationand Extension of Contract

Without any party in breach of this contract, Party A and Party B shall not terminate the contract unilaterally in the duration of the contract. This contract can be terminated before the expiry date under the consensus of both parties.

After the expiry date of this contract, if no dispute arises between the two parties, this contract shall be automatically extended for another year; however, the monthly sales quota shall be reasonably increased, and other terms and conditions shall be suitably adjusted based on the principle of mutual benefits.
