2021开年到现在，暴涨的运费至今还未有下跌的趋势，与航运经济相关的运输、仓储、保险等各个环节均难以幸免，连结贸易合同与运输合同的“纽带”是国际贸易术语，那么目前有哪些贸易术语呢？在不同贸易术语下又有哪些潜在风险？

国际贸易术语，International Commercial Terms, 简称Incoterms. 贸易数据能够简化交易磋商，明确买卖双方的责任和义务，将买卖双方需要成承担的风险划分清楚，避免后期争议。贸易术语虽然不是法律，但确认后对买卖双方具有约束力。

Incoterms由国际商会International Chamber of Commerce(ICC)制定，每十年对其做一次变更，目的是为了便利国际贸易的操作流程。

国际商会（“ICC”）新公布的2020版本《国际贸易术语解释规则》分成2类、4组、11个贸易术语：

2类：

适用于任何运输方式——EXW、FCA、CPT、CIP、DAP、DPU、DDP

仅适用海运——FOB、FAS、CFR、CIF

4组：

C组术语：由卖家安排并支付运费至指定地点，该地点指明货物的目的地（如”Incoterms2020 CIF上海”）

D组术语：卖家安排并支付运费至指定地点，该地点指明货物的目的地和交货地（如“Incoterms2020 DAP 上海路99号”）

F组术语：通常由买家支付并安排运输（主要运费）

EXW：卖家在卖家工厂交付给买家

在D，E和F组术语中，风险在指定地点，即货物在买卖合同项下完成法律意义上的“交付”时，从卖家转移给买家。

11个术语：

EXW、FCA、FAS、FOB、CFR、CIF、CPT、CIP、DPU、DAP、DDP等。

A 所有运输方式都适用

1、EXW

全拼：EX Works

中文含义：工厂交货(指定的地点)

唯一由买方办理出口清关手续的术语，出货方只需要把货备好，放在工厂或者仓库，后续的都由买家来负责（包括安排拖车进仓装柜，报关，装柜……）

此种术语下，卖方承担的风险，责任以及费用最小，买方承担的风险、责任、费用最大。

2、FCA

全拼：Free Carrier

中文含义：货交承运人

卖方在其所在地或其他指定地方，将已经出口清关的货物交付给买方指定的承运人或其他人。货物海运销售中，货物在卖方运输工具上备妥待卸并置于承运人或买方指定的其他人控制之时，即完成交货义务。

在集装箱运输时，通常在集装箱码头交货，使用FCA。

FCA Incoterms2020新调整：交易双方可以同意，买方将指示其承运人在将货物装上船前，向卖方签发并交付提单Bill of Lading。

3、CPT

全拼：Carriage Paid to

中文含义：成本加运费付至（指定目的地）

CPT=FCA+运费

卖方将货物交给其指定的承运人，并且须支付将货物运至指定目的地的运费，买方则承担交货后的一切风险和其他费用。

CPT术语和CFR基本相同，只是适用的运输方式不同，CFR适用于船运，CPT适用于铁路、公路等各种运输方式。

4、CIP

全拼：Carriage and Insurance Paid to

中文含义：运费、保险费付至（指定目的地）

CIP=CPT+保险费=FCA+运费+保险费

卖方将货物交给其指定的承运人，支付将货物运至指定目的地的运费，为买方办理货物在运输途中的货运保险，买方则承担交货后的一切风险和其他费用。

Incoterms2020中CIP保险投保险别变化：CIP属于下买方投保要投最高险别（如CIC一切险和ICC（A）险），而CIF术语下投保险别要求不变，投最低险别。

5、DAP

全拼：Delivered at Place

中文含义：目的地交货（指定目的地）

卖方负责将合同规定的货物按照通常航线和惯常方式，在规定期限内将装载与运输工具上准备卸载的货物交由买方处置，即完成交货，卖方负担将货物运至指定地为止的一切风险。

DAP是INCOTERMS 2010新增术语，旨在替代INCONTERMS 2000中DAF、DES和DDU术语。也就是说，DAP的交货地点既可以是在两国边境的指定地点，也可以是在目的港的船上，也可以是在进口国内陆的某一地点。

6、DPU

全拼：Delivered at Place Unloaded

中文含义：卸货地交货

卖方在指定目的地或目的港集散站卸货后将货物交给买方处置即完成交货，卖方承担将货物运至卖方在指定目的地或目的港集散站的一切风险和费用（进口费用除外）。

7、DDP

全拼：Delivered Duty Paid

中文含义：完税后交货

卖方在指定的目的地办完清关手续将在交货的运输工具上尚未卸下的货物交给买方处置，即完成交货。

DDP是卖方承担的责任最大、负担的费用最多的一个术语，卖方承担将货物运至目的地的一切风险和费用，包括在需要办理海关手续时在目的地应缴纳的任何进口税费。

1、FAS

全拼：Free Alongside Ship

中文含义：装运港船边交货

卖方在指定的装运港，将货物交付至买方指定的船边，如置于码头或驳船上时完成交货义务。买方承担自装运港船边（或驳船）起的一切费用和风险。

在大宗货物的贸易中，特别是小麦、棉花、大豆、矿石等初级产品贸易中，出口商通常采用该术语。

2、FOB

全拼：Free On Board

中文含义：装运港船上交货

卖方在指定的装运港，将货物装上买方指定的船舶时，卖方完成其交货义务。卖方应负责办理出口清关手续，在合同规定的装运港和规定的期限内，将货物交到买方指派的船上，承担货物在装运港越过船舷之前的一切风险，并及时通知买方。船开后，一切事宜都由买方负责。

FOB=EXW+运输费用/装卸费用+货代费（装柜费+报关费等）

Ps：本条中风险转移规则已经《2010年国际贸易术语解释通则》修改，装运港货物装运上船后，风险转移给买方。

3、CFR

全拼：Cost and Freigh

中文含义：成本加运费

卖方在装运港船上交货，同时卖方须订立运输合同，支付货物至指定目的港的运费，按合同规定的装运港和装运期限将货物装上船并及时通知买家。

4、CIF

全拼：Cost Insurance and Freight

中文含义：成本加保险费、运费

CIF= CFR+保险费=FOB+运费+保险费

在CFR基础上，卖方需要负责办理货物运输保险，为运输途中货物的灭失或损坏风险办理保险。

出口企业选择贸易术语时应考虑到运输条件、产品本身特性以及清关手续的难易程度何意运用贸易术语哦~
