在交易洽商过程中,一方发盘经另一方接受,交易即告达成,双方之间就建立了合同关系。依国际惯例,买卖双方还需签订一定格式的书面合同。 按照一般的法律规则,合同的成立取决于一方的发盘和另一方对发盘的接受的程序。签订书面合同不是合同有效成立的必备条件。但是在国际贸易实践中,在当事人双方达成交易之后,一般均须另行签订书面合同。因为签订书面合同具有下列意义: 书面合同可以作为合同成立的证据; 书面合同有时是合同生效的条件; 书面合同可作为履约的依据; 在国际贸易中,进出口贸易书面合同的名称和形式,均无特定的限制。合同(Conatract)确认书(Confirmation),协议书 (agreement)和备忘录(memorandum)以及订单(order)均有使用。但是我国外贸业务中主要使用的是合同和确认书。 (1)合同 合同的内容比较全面详细,除了包括交易的主要条件如品名、规格、数量、包装、价格,交货、支付外、还包括保险、商品检验、索赔、仲裁、不可抗力等条款。卖方草拟提出合同的称为“销售合同”(Sales Contract),买方草拟出的合同称为“购货合同”(Purchase contract)。使用的文字应是第三人称的语气。 (2)确认书 确认书是合同简化形式。卖方出具的确认书称为“售货确认书”(Sales confirnation)买方出具的确认书称为“购货确认书”(purchase Confirmation)使用的文字是第一人称的语气。确认书的法律效力与合同完全相同。(3)协议书 协议(Agreement),在法律上是“合同”的同义语。当双方当事人把经协商达成一致的交易条件归纳为书面形式时,我们就称之为“协议”。其内容中对买卖双方当事人的权利和义务作了明确、具体和肯定的规定,所以这样的协议就具有法律效力。 (4)定单和委托订购单 定单是指由进出口商与实际购买者拟定的货物定购单。委托订购单是指由代理商或中间商拟定代理买卖货物的订购单。 口头磋商达成的交易,在取得口头协议后,都应经双方合法代表正式签署书面合同。 合同一般包括三个部分:第一部分是合同的首部,叫约首。它包括合同的名称、合同的编号、缔约日期、缔约地点,缔约双方名称和地址等。第二部分是合同的主体,叫本文。它载有主要的交易条款。第三部分是合同的尾部,叫约尾。包括合同的份数以及缔约双方的签字等。合同的内容应该符合政策,条款明确、严密,前后一致并与交易双方达成的条款内容完全一致。有效的合同对双方当事人都有约束力。
